                       RM plc - Directors' Dealings

RM plc has today been informed that on 23 November 2001 the following dealings
in shares of the Company by a non-executive Director took place.

Michael O'Regan and spouse sold a total of 200,000 ordinary 2p shares at a
price of 264p per share.  Michael O'Regan also transferred 80,000 ordinary 2p
shares to Oxford Brookes University, a registered charity.

Following these dealings Michael O'Regan's beneficial holding now stands at
2,970,000 ordinary 2p shares and represents 3.15% of the issued share capital
of the Company.
