RM plc - Directors' Dealings

Today 31 May 2000, RM Employee Share Schemes Trustee Limited (as Trustee of
Research Machines Employee Share ownership Plan) subscribed for 165,000
ordinary shares of 2p each in the Company. At the direction of the Trustee,
the shares were allotted and issued directly to employees, to satisfy options
under the RM plc 1994 Executive Share Option Scheme. As a result of the
allotment and issue, the following Directors became absolutely entitled to the
number of shares set out below pursuant to the exercise of options at a price
of 147.5 pence per share.

Subsequently each Director sold the total shares issued to them at a price of
650p per share.

Following these transactions the Director's beneficial holdings in RM shares
remain unchanged.
