RM plc today, received a fax dated 10 October 2002 from Schroder Investment
Management Limited, which stated that they have an interest in 16,426,851 shares
of the Company, which are held in portfolios managed by them on a discretionary
basis for clients under investment management agreements.



Included in this figure are:



(i)                  30,000 shares registered or to be registered in the name of
a wholly owned subsidiary nominee company, Schroder Nominees Limited (Schroder
Nominees).



(ii)                11,071,806 shares held in (a) unit trust(s) operated and
managed by an affiliated company, Schroder Unit Trusts Limited (SUTL) and
registered or to be registered in the name of Chase Nominees Limited.



(iii)               5,325,045 shares neither registered nor to be registered in
the name of Schroder Nominees. The registration details are shown below.

An affiliated company, Schroder Investment Management North America Inc (SIMNA
Inc), is managing a portfolio on a similar basis, holding a further 1,950,000
shares. This holding is registered or to be registered in the name of Chase
Nominees Limited.



Schroder Investment Management Limited, their subsidiary and affiliated company
are therefore interested in an overall aggregate of 18,376,851 shares,
representing some 20.487% of the total number of shares in issue, namely
89,700,795 shares.



This notification was made to us:



(a) in respect of Schroders interest as investment managers,



(b) on behalf of SUTL and SIMNA Inc in relation to the interest it is treated as
having under the Companies Act 1985 (the Act), and



(c) on behalf of Schroders plc., their holding company, which is treated as
having an interest in all of the above shares under the Act by virtue of its
ownership of SUTL, SIMNA Inc and themselves.
