Result of EGM



The Company announces that the special resolution authorising the Company to
make market purchases of its own shares in accordance with section 166 of the
Companies Act 1985, as amended, within the meaning of section 163(3) of the Act
has been passed at the EGM today.



This therefore means the Tender Offer, detailed in the Circular sent to
Shareholders on 1 April 2004 will take place. The Tender Offer closes at 3.00pm
today by which time Tender Forms should have been received by the Company's
registrars, Neville Registrars Limited, Neville House, 18 Laurel Lane, Halesowen
B63 3DA.



An announcement regarding the results of the Tender Offer will be made tomorrow.
