                         ROC OIL COMPANY LIMITED ('ROC')
                             STOCK EXCHANGE RELEASE

                   RESOLUTIONS PUT TO ANNUAL GENERAL MEETING
                         AND DISCLOSURE OF PROXY VOTES

ROC advises that the result of the resolutions put to its members at its Annual
General Meeting held earlier today were as follows:

2.   Election of Mr A Jolliffe as a Director.

Result - carried.

3.   Election of Mr R Dobinson as a Director.

Result - carried.

4.   Election of Mr D Paterson as a Director.

Result - carried.

5.   Grant of 300,000 options under the Roc Oil Company Limited Executive Share
Option Plan to the Chief Executive Officer, Dr John Doran, in the manner set out
in the explanatory notes to the Notice of Meeting, is approved for all purposes,
including for the purpose of ASX Listing Rule 10.14.

Result - carried.

6.   Adoption of the Remuneration Report for the year ended 31 December 2006.

Result - carried.

In accordance with Section 251AA(2) of the Corporations Act, ROC also notifies
that all of the above resolutions were decided on a show of hands and that the
total number of proxy votes received specified that the appointee was to vote in
respect of all resolutions as follows:
