  ROLLS-ROYCE COMPLETES ACQUISITION OF BMW ROLLS-ROYCE

BMW  AG  ('BMW')  and Rolls-Royce plc ('Rolls-Royce')  are
pleased to confirm that, following the receipt of approval
of  the  transaction from the relevant German authorities,
the acquisition by Rolls-Royce of BMW's stake in BMW Rolls-
Royce GmbH will complete on 31 December 1999 as planned.

The 33.3 million shares to be issued by Rolls-Royce to BMW
will  be  issued and listed on 30 December 1999, with  the
remainder of the completion formalities taking effect from
the end of 31 December 1999.
