The announcement of the additional listing released on 22 June 2007 contained an
error. The number of B shares to be cancelled with effect from 2 July 2007 is
102,604,990,049. All other details of the announcement remain unchanged. The
corrected announcement is set out in full below.

Rolls-Royce Group plc (the 'Company')

Application has been made to the UK Listing Authority for the listing of, and to 
the London Stock Exchange for the Admission of, 12,820,447 Ordinary Shares of 
20p each to the Official List. These shares will be issued as a result of the 
conversion of Non-Cumulative Redeemable Convertible Preference Shares of 0.1 
pence each ('B Shares') by shareholders. As a consequence of conversions and 
redemptions, 102,604,990,049 B Shares will be cancelled with effect 
from 2 July 2007. These changes are being made pursuant to the circular to 
shareholders, dated 22 March 2004.
