                      ROLLS-ROYCE ANNOUNCES BOARD CHANGE


Rolls-Royce plc announced today (18 July 2002) that Paul Heiden, Finance
Director, has decided to leave Rolls-Royce on 31 December 2002 to take up the
position of Chief Executive at FKI plc.  The process to find a successor is now
under way and a further announcement will be made in due course.



John Rose, Chief Executive of Rolls-Royce plc, commented:  'Over the last ten
years, Paul has made a major contribution to the development of Rolls-Royce.  We
wish him well in his new role at FKI next year'.
