ROLLS-ROYCE HOLDINGS plc

Rolls-Royce Holdings plc (the Company) announces that on 3 March 2016, ordinary shares in the Company were transferred to the following persons discharging managerial responsibility (PDMRs) by Computershare Trustees (Jersey) Limited (the trustee of the Rolls-Royce Group 2008 Employee Share Trust).  These awards were made in 2014, under the Rolls-Royce Deferred Share Bonus Plan (the DSB), and in relation to performance in 2013.  Each individual was required to retain 40% of their 2014 award in the form of deferred shares until 3 March 2016. 

 

The table below sets out the number of shares awarded to each PDMR, the number of shares sold to discharge their tax obligation and the number of shares, if any, sold following release. All shares were sold at a price of 687.7803 pence per share.

The shares have been held in trust since 2014 and have been released by the trustee in accordance with the rules of the DSB.

The Company also announces that on 1 March 2016 it made a conditional award of ordinary shares at a price of 676 pence per share to the following executive directors and PDMRs under the terms of the Rolls-Royce plc Performance Share Plan (PSP). No amount is payable for the grant of an award.
