Rolls-Royce plc announces that on 14 March 2002 the Rolls-Royce Employee Share
Trust entered into an agreement to acquire 4,045,000 shares at an average price
of 182.9 pence per share for the purpose of satisfying, in due course, awards
granted under the Rolls-Royce Deferred Share Plan.
