The current shares in issue are 218,767,475 shares; following the issue of 13,126,051 shares the shares in issue will be 231,893,526 shares.
Ross Group Plc ("RGP" or the "Company") announces it has raised approximately 367,529.428 by way of a placing of 13,126,051 new Ordinary Shares ("Placing Shares") at a fixed price of 2.8 pence per new Ordinary Share (the "Issue Price")
Applications have been made for all of the Placing Shares to be admitted to the Premium Listing segment of the Official List of the UK Financial Conduct Authority (the "FCA") and to trading on the London Stock Exchange's Main Market for listed securities ("Admission"). It is expected that Admission will take effect, and dealings in the Placing Shares will commence, at 8.00 a.m. (London time) on Wednesday 15th September 2021
The shares, which will rank pari passu with the existing ordinary shares in the Company, have been issued as per Special Resolution 10 approved at the Company's Annual General Meeting held on 31st December 2020.
Immediately following Admission, the Company will have 231,893,526 ordinary shares in issue and therefore the total voting rights in the Company will be 231,893,526. This figure may be used by shareholders as the denominator for the calculations by which they may determine whether or not they are required to notify their interest in, or a change to their interest in, the share capital of the Company under the FCA's Disclosure Guidance and Transparency Rules.
