Result of EGM and Allotment of Shares
The board of Rotala is pleased to announce that at an Extraordinary General
Meeting of the Company held at 10.00am today the following resolutions were duly
passed:
1. An ordinary resolution authorising the directors of Rotala to allot new
ordinary shares up to a nominal amount of £1,460,611 pursuant to the
Companies Act 1985; and
2. A special resolution authorising the directors of Rotala to disapply the
provisions of Section 89(1) of the Companies Act 1985 with regard to the
allotment of new ordinary shares up to a nominal amount of £1,460,611.
The board of Rotala also announces that it has allotted the 35,753,800 shares ('
Tranche B Shares') which were placed subject, inter alia, to shareholder
approval under the terms of the placing announced on 4 October 2006. Application
has been made to AIM for Admission to Listing of the Tranche B Shares and
dealings are expected to commence on 30 October 2006.
Following admission of the Tranche B Shares, the enlarged issued share capital
of the Company will be 367,691,027 ordinary shares.
