                        ANNUAL      GENERAL      MEETING

Rotork plc will hold  its' Annual General  Meeting ( AGM ) ON 2ND May 2008 at 12
noon  at the Company's registered offices at Rotork House ,  Brassmill  Lane ,
Bath. An Interim Management Statement will be announced at the meeting .

The new Articles of Association to be produced to the meeting and proposed for
adoption  by shareholders will incorporate the same limitation on the borrowing
powers of the Directors as incorporated into the current Articles of 
Association.
