Notification in respect of Mr R E Slater

On 3rd April 2002 Mr RE Slater exercised 6,312 share options in 5p ordinary
shares of the company under the company's Employee Share Option Scheme.  These
options were granted on 13th April 1994 and were exercisable at a price of 182p 
per share.

On 5th April 2002 the company was informed of a sale by Mr RE Slater on 5th 
April 2002 of 800 5p ordinary shares of Rotork plc at a price of 378p for each
share.

Following the exercise and subsequent partial sale referred to above Mr RE 
Slater's total holding in the company is now 19,898 5p ordinary shares.
