Directors' Interests in Shares
Following the vesting of shares under the Company's Long Term Share Incentive
Plan relating to Awards made in 2001, the following transactions are disclosed
relating to Directors' share interests.
Mr. W.H. Whiteley acquired on 3 March 2005 a beneficial interest in 31,932
ordinary 5p shares of Rotork p.l.c. Subsequently, 13,120 shares were sold at an
average price of £4.46p per share, leaving Mr. Whiteley with a net acquisition
of 18,812 shares.
Mr. R.E. Slater acquired on 3 March 2005 a beneficial interest in 20,168
ordinary 5p shares of Rotork p.l.c. Subsequently, 8,286 shares were sold at an
average price of £4.46 per share, leaving Mr. Slater with a net acquisition of
11,882.
Mr. G.E. Malcolm acquired on 3 March 2005 a beneficial interest in 20,168
ordinary 5p shares of Rotork p.l.c. Subsequently, 8,286 shares were sold at an
average price of £4.46p per share, leaving Mr. Malcolm with a net acquisition of
11,882 shares. These shares were then immediately transferred to Mrs. J.
Malcolm, his spouse.
Mr. G.M. Ogden acquired on 3 March 2005 a beneficial interest in 8,705 ordinary
5p shares of Rotork p.l.c. Subsequently, 3,578 shares were sold at an average
price of £4.46p per share, leaving Mr. Ogden with a net acquisition of 5,127
shares.
The Company was informed on behalf of the Directors by the LTIP Scheme Trustee
on 7 March 2005.
