                             Dividend Announcement

The Directors of Rotork p.l.c are recommending a final dividend of 8.9p per
share, which gives a total dividend for the year of 13.9p. The dividend is
covered 1.5 times. The final dividend will be paid on 28 May 2003 to
shareholders on the register at the close of business on 28 March 2003.
