Electrocomponents plc Long Term Incentive Plan

The Company was informed on 12 September 2001 that Electrocomponents Employee
Trustees (Jersey) Limited, trustee of the discretionary trust established to
facilitate the operation of the Electrocomponents plc Long Term Incentive Plan
purchased 110,000 ordinary 10 pence shares at 490.9p per share on 11 September
2001 representing less than 0.1% of the issued share capital of the Company.
303,689 shares are now held by the Trust, which represents less than 0.1% of
the issued share capital of the Company.

As potential beneficiaries of the Trust, Mr JL Hewitt, Mr RA Lawson, Mr I
Mason and Mr RB Butler Directors of the Company, are considered to have an
interest in the shares held by the Trust.  No awards to Directors under the
Long Term Incentive Plan are being made at this stage.
