NOTIFICATION OF CHANGE IN SHAREHOLDING OF SUBSTANTIAL SHAREHOLDERS

The Company received notification 24 December 2001 in accordance with the
Companies Act 1985 (as amended) that CGNU plc and Morley Fund Management (a
subsidiary of CGNU plc) have a notifiable interest in 13, 292, 033 ordinary
shares of 10p each of the Company ('shares') which represents 3.06% of the
total issued share capital of the Company.
