Director Shareholding

The Board of RWS Holdings plc ("RWS" or "the Group") announces that it received notification on 13 October 2011 that RBC Trustees (Guernsey) Limited, trustees of the Brode Life Interest Trust, had transferred 556,000 ordinary shares of 5p each in the Group to Mr Andrew Brode.  Mr Brode is the life tenant of the trust, and the Executive Chairman of the Group.

Mr Brode has informed the Board that it is his intention to gift these shares to The King Edward's School Birmingham Trust. A further announcement will be made when this gift has been formally completed.

Following the above mentioned transactions, the Brode family interests in the ordinary shares of the Group will be 18,034,812 shares, representing 42.62% of the issued share capital.
