RWS Holdings plc ('RWS' or 'the Company')

Exercise of Options

RWS announces that it has issued and allotted a total of 150,000 new ordinary shares of 5p each ('New Shares') pursuant to the exercise of options on 20 June 2008. 

Application has been made to the London Stock Exchange for the New Shares to be admitted to AIM ('Admission'). It is expected that Admission will occur on 26 June 2008.

Total voting rights

In accordance with the FSA's Disclosure and Transparency Rules, the Company would like to notify the market that following the exercise of options and the admission of new shares disclosed above:

The Company's capital consists of 41,195,435 ordinary shares with voting rights. No ordinary shares are held in treasury. 

Therefore the total number of ordinary shares in the Company with voting rights is 41,195,435.

The above figure of 41,195,435 ordinary shares may be used by shareholders as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change to their interest in, the Company under the FSA's Disclosure and Transparency Rules.
