                        Ryanair Holdings plc ('Ryanair')

Further to the announcement on 24 January 2002 of the purchase of up to 150 new
Boeing 737-800 aircraft, Ryanair advises that this transaction is subject to
shareholder approval under the Listing Rules. Accordingly, a circular in
relation to the transaction will be dispatched to shareholders in due course to
convene an extraordinary general meeting to seek shareholder approval.
