Directors' Notification of Dealing in Shares

The Sage Group plc ('the Company')

DIRECTOR'S INTERESTS

The Company has been notified that Mr Paul Walker, Chief
Executive, has entered into a stock loan agreement with
UBS Warburg ('UBS') under which Mr Walker has delivered
to UBS and UBS will redeliver to Mr Walker 1,920,192 of
Mr Walker's shares. In addition, Mr Walker has entered
into a transaction with UBS which has the effect of
hedging his exposure to movements in the market price of
1,440,144 of his shares in the Company. The hedging
transaction does not commit Mr Walker to sell the shares
at a future date.
