J Sainsbury plc was informed on 7 December 2001 that Franklin Resources Inc
and its affiliates have increased their substantial interest in the Company.

As a result the holding has passed two percentage integer and the reportable
interest is now 5 per cent  instead of the 3 per cent previously reported.
