Result of AGM

 

Sanderson Design Group PLC (AIM: SDG), the luxury interior design and furnishings group, held its Annual General Meeting ("AGM") earlier today at which all resolutions were duly passed.

All resolutions were taken on a poll and were passed with the majorities as set out below.

 

1.     To receive the reports of the directors and of the auditors, together with the accounts for the year ended 31 January 2024

2. Declaration of final dividend

3. To re-elect Dianne Thompson as a Non-executive Director

4.   To re-elect Juliette Stacey as a Non-executive Director

5. To re-elect Christopher Rogers as a Non-executive Director

6. To re-elect Patrick Lewis as a Non-executive Director

7. To re-elect Lisa Montague as a Director

8.  To re-elect Mike Woodcock as a Director

9. To re-appoint BDO LLP as auditors of the Company

10. To authorise the Directors to determine the remuneration of the auditors

11. To authorise the Directors to allot shares

12. To renew the Directors' authority to dis-apply pre-emption rights (Special Resolution)

13. To enable an additional 10% of the Company's current issued share capital to be issued without

applying the statutory pre-emption requirements where the share issue is proposed in connection with an acquisition or capital investment (Special Resolution)

14. To authorise the Company to purchase its own shares (Special Resolution)

15. Notice period for calling of General Meetings (Special Resolution)
