Voting Rights and Capital



On 22 December 2006, in conformity with the Transparency Directive's
transitional provision 6 (the 'Directive'), the Company notified the market that
the Company's issued share capital consisted of 135,085,892 ordinary shares of
2.5p nominal value with voting rights.

Under the Directive, all subsequent alteration which occurs before 20 January
2007 requires notification.  Accordingly, the Company would like to notify the
market of the following:

A further 40,792 shares were issued on 9 January 2007 under the Company's
Sharesave Scheme.  Therefore, as at the date of this announcement the Company's
issued share capital consists of 135,126,684 ordinary shares of 2.5p nominal
value with voting rights.  The Company does not hold any shares in Treasury.
Therefore, the total number of voting rights in the Company is 135,126,684.

The above figure (135,126,684) may be used by shareholders as the denominator
for the calculations by which they will determine if they are required to notify
their interest in, or a change to their interest in, the Company under the FSA's
Disclosure and Transparency Rules.
