Issue of Ordinary Shares from Treasury

Schroder Oriental Income Fund Limited (the "Company") issued 100,000 Ordinary shares of £0.01 each from treasury on 17 June 2015 as follows:

100,000 Ordinary shares at 196.45 pence per share           

These shares rank pari passu with the existing Ordinary shares in issue.

Following this issue, the Company's issued Ordinary share capital consists of 230,346,574 ordinary shares, and an additional 6,595,000 shares are held in treasury. Accordingly, the total number of voting rights in the Company is 230,346,574.

The above figure may be used by shareholders as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change to their interest in, the Company under the Financial Conduct Authority's Disclosure and Transparency Rules.
