Annual General Meeting

Schroder UK Mid and Small Cap Fund plc announces that at the Annual General Meeting of the Company held at 31 Gresham Street, London EC2V 7QA on Tuesday 26 January 2010, resolutions numbered 1 to 13 as set out in the Notice of Meeting were duly passed. Resolution 14 was withdrawn with the consent of the meeting due to lack of shareholder support.
