Result of Audit Tender

Schroder UK Mid Cap Fund plc (the "Company") announces that the Board has approved the appointment of KPMG LLP as the Company's independent auditor for the current financial year, ending 30 September 2017.

This appointment follows a competitive tender process, conducted as described in the Company's 2016 Annual Report and Accounts.

Shareholder approval for the appointment of KPMG LLP as the Company's auditor for the next financial year, ending 30 September 2018, will be sought at the Company's Annual General Meeting to be held in early 2018.

There are no matters in connection with Ernst & Young LLP's prospective resignation as the Company's auditor which, in the view of the Board, need to be brought to the attention of shareholders.
