In  compliance  with Section 329 of the Companies Act 1985  and  Chapter  16,
paragraph 13 of the Listing Rules, we hereby advise you that the Company  has
been  today informed that during the week commencing 11th September 2000  the
trustees  of  the Schroders Employee Benefit Trust purchased  722  non-voting
ordinary  shares  at  an average price of £11.41 per  share.   The  potential
beneficiaries  of the trust under the Company's Share schemes include,  among
others, Directors of Schroders plc apart from non-executive Directors.
