In compliance with Section 329 of the Companies Act 1985 and Chapter 16 of the
Listing Rules, we hereby advise you that the Company was informed today that
the trustees of the Schroders Employee Benefit Trust have purchased the
following non-voting ordinary shares:

The potential beneficiaries of the trust under the Company's share schemes
include, among others, Directors of Schroders plc.
On 6th April 2001 the Schroders Employee Benefit Trust sold 344,200 non-voting
ordinary shares to the trustee of the Schroders UK Share Ownership Plan (an
all-employee share plan) at a price of £10.10 per share.
Also on 6th April 2001 the following Directors of Schroders plc acquired a
beneficial interest in the number of non-voting ordinary shares in Schroders
plc set against their respective names following an appropriation of shares by
the Schroders UK Share Ownership Plan in respect of the year ended 31st
December 2000
