paragraph 13 of the Listing Rules, we hereby notify that the Company was today
informed that Mr Andrew Sykes, an executive director of Schroders plc, sold
1,707 non-voting ordinary shares on 21st November 2002 at a price of £5.50 per
share. The shares had been held in Personal Equity Plans.
