Board Changes

 

 

Schroders plc today announces changes to the composition of the Board and Board Committees.

 

Sir Peter Job, currently the Senior Independent Director and Chairman of the Remuneration Committee, will retire from the Board at the conclusion of the Annual General Meeting. At the same time Andrew Beeson, currently Chairman of the Audit Committee and a member of the Remuneration Committee, will succeed Sir Peter as both Senior Independent Director and Remuneration Committee Chairman; Merlyn Lowther, currently a member of the Audit Committee, will succeed Andrew Beeson as Chairman of the Audit Committee; and Luc Bertrand will step down from the Audit Committee and join the Remuneration Committee.

 

Robin Buchanan, formerly the Dean and then President of London Business School and the Senior Partner of Bain & Company in the UK, joins the Board as a non-executive Director, effective immediately. Mr Buchanan will join the Audit Committee at the conclusion of the Annual General Meeting on 6 May.  He will also be a member of the Nominations Committee. 

 

Michael Miles, Chairman of Schroders, said 'We are very grateful to Peter Job for his support and wise counsel over more than 10 years. We are delighted that Robin Buchanan is joining Schroders as a Non-executive Director. His breadth of experience will further strengthen the Board and I look forward to his contribution.'

 

There are no further details required to be disclosed pursuant to Listing Rule 9.6.13 in connection with Mr Buchanan's appointment.

Between 2007 and 2009 Robin Buchanan served as Dean and then President of the London Business School.  He is now a Director of the School's Corporate Governance Centre.  Previously Mr Buchanan was a Partner with Bain & Company Inc., the leading global consulting firm, serving as main board director of the worldwide firm as well as the UK Managing Partner and then the UK and South Africa Senior Partner between 1990 and 2007.  Mr Buchanan remains a Senior Adviser to Bain & Company.  His early career included a predecessor firm of Deloitte & Touche and American Express International Banking Corporation (now part of Standard Chartered).

 

Mr Buchanan is a member of the Trilateral Commission, of the Advisory Board of the UK India Business Council and of the International Advisory Council of Recipco.  He is a member of the Remuneration Committee of Coller Capital Ltd, a private equity firm. 

 

He served as non-executive director of Liberty International plc, the FTSE100 property firm, from 1997 to 2008 and also with Shire plc, the FTSE100 bio-pharma firm, from 2003 to 2008. 

 

Mr Buchanan is a Fellow of the Institute of Chartered Accountants in England & Wales.
