In compliance with Section 329 of the Companies Act 1985 and Chapter 16,
paragraph 13 of the Listing Rules, we hereby notify you that on 13th March
2000 the following directors of Schroders plc were granted awards giving them
the right to acquire the numbers of non-voting ordinary shares in Schroders
plc set against their respective names under the Rules of the Company's Equity
Compensation Plan and the Share Option Plan 1999.

These awards have been granted under seal.  The awards under the Equity
Compensation Plan were granted for no consideration and are not normally
exercisable for three years.  The options were granted at a price of £11.36
per share and are not normally exercisable for five years and then only if the
applicable performance targets have been met.
