In  compliance  with Section 329 of the Companies Act 1985  and  Chapter  16,
paragraph 13 of the Listing Rules, we hereby advise you that the Company  has
been  today informed that the trustee of the Schroders Employee Benefit Trust
purchased 74,558 non-voting ordinary shares at a price of £9.10 per share  on
19th  June  2000.   The potential beneficiaries of the trust  include,  among
others, Directors of Schroders plc apart from non-executive Directors,  under
the Company's Performance Share Plan and Equity Compensation Plan.
