In accordance with Section 198 of the Companies Act 1985 and Chapter 9,
Paragraph 11 of the Listing Rules, we hereby inform you that the Company was
notified on 6 September 2004 by Legal & General Investment Management Limited
that following a sale of ordinary shares of Schroders plc its interest is now
6,343,188 ordinary shares, representing 2.81% of the issued ordinary share
capital of Schroders plc, and that consequently Legal & General Group plc and/or
its subsidiaries have ceased to have a notifiable interest.
