In accordance with Section 198 of the Companies Act 1985, we hereby inform you
that the Company was notified on 29 September 2005 by Fidelity Investment
Services Limited that following a sale of ordinary shares of Schroders plc its
interest is now 8,489,713 ordinary shares, representing 2.85% of the issued
ordinary share capital of Schroders plc, and that consequently FMR Corp. and its
direct and indirect subsidiaries, and Fidelity International Limited (FIL) and
its direct and indirect subsidiaries, both being non-beneficial holders have
ceased to have a notifiable interest.
