Result of Adjourned Separate Class Meeting



The Board announces that at the reconvened separate Class Meeting of Zero
Dividend Preference ('ZDP') shareholders in Schroder Split ZDP plc held on 26
November 2007 at 9.00 a.m., the resolution relating to the Scheme of
reconstruction announced on 25 October 2007 was approved.



Implementation of the Scheme is conditional inter alia upon approval by
Shareholders of the resolutions to be proposed at the Second General Meetings to
be held on 30 November 2007.



Second General Meetings



As stated in the Group's announcement released on 21 November 2007, the Second
General Meetings of Schroder Split Investment Fund plc and Schroder Split ZDP
plc will commence at 9.00 a.m. on 30 November 2007. At these meetings two
special resolutions will be proposed, the first to wind up the relevant company
voluntarily and to appoint the Liquidators and the second for the purpose of
conferring appropriate powers on the Liquidators.



Terms used in this announcement shall, unless the context otherwise requires,
bear the meaning given to them in the Circular issued by the Group dated 25
October 2007.
