Dealings by Directors
Following the recent positive trading update made at the Company's Annual
General Meeting on 23 June 2004 and the successful completion of the acquisition
of Geolink International Limited ("Geolink"), the Company announces that Collins
Stewart Limited yesterday placed a total of 3,771,039 existing ordinary shares
("the Sale Shares") with institutional investors on behalf of shareholders
including certain of the executive directors of the Company.
The recent acquisition process, having been partially funded by a placing and
open offer, indicated significant demand from existing and new institutional
investors in excess of the available supply. Against this backdrop, and
additionally to satisfy possible tax liabilities from previous company
restructuring, the directors agreed to their first disposals of Sondex shares
since a Management Buy Out in 1998. The directors continue to hold in excess of
7% of the issued share capital of the Company.
The Sale Shares were placed at 182p per share. Details of the Sale Shares sold
by certain of the executive directors are set out below:
