Directors' Interests in Shares
By a written resolution of the Remuneration Committee passed on 28 June 2006, it was agreed that, in accordance with the
terms of the Company's Performance Share Plan 2003 ("the PSP") and following the completion of the three year
performance period for the awards made on 14 May 2003, 100% of the awards made on that date should vest.
Three Directors therefore became unconditionally entitled to the PSP shares set out below:

These shares have been sold, at a price of 258 pence per share, in part to satisfy tax liabilities arising as a result
of the vesting. Mr Stuart-Bruges has additionally sold 350,000 shares at a price of 258 pence per share.
The resulting total number of shares in which these Directors, or persons connected with them, are beneficially
interested, in comparison with their previous holdings, is now as follows:
