Notice of Extraordinary General Meeting

Sondex announces today that it posted its prospectus in relation to the Firm
Placing and Placing & Open Offer and the  acquisition of Innicor Subsurface
Technologies Inc. ("Innicor") ("the Prospectus") on 19 October 2006.

The EGM will take place at 4.00 pm on 16 November 2006 at the offices of Nabarro
Nathanson, Lacon House, Theobald's  Road, London, WC1X 8RW.

The other principal events are as follows:

Ex-entitlement date for the Open Offer                           20 October 2006

Latest time and date for receipt of Application Forms and          11.00 a.m. on
payment in full under the Open Offer                             9 November 2006
                                                                 

Latest time and date for receipt of Forms of Proxy                  4.00 p.m. on
                                                                14 November 2006

Last date for acceptances of the Innicor Offer (in Canada)      16 November 2006

Earliest date for declaring the Innicor Offer unconditional (in 16 November 2006

Admission and commencement of dealings in New Ordinary Shares       8.00 a.m. on

                                                                17 November 2006

The basis of the Open Offer is as described in the announcement on 
21 September 2006.

Copies of the Prospectus will be available free of charge at the offices of the
Company (Saxony Way, Blackbushe  Business Park, Yateley, Hampshire, GU46 6AB)
and from the offices of Investec (2 Gresham Street, London EC2Y 7QP)until 17 of
November 2006.
