In accordance with Rule 2.10 of the City Code on Takeovers and Mergers, Sondex
confirms that it has 59,090,998 ordinary shares of ten pence each in issue,
being relevant securities of Sondex for the purpose of Rule 2.10 of the City
Code on Takeovers and Mergers.
