Senior plc - AGM Update
Senior plc ("Senior" or the "Company") today issues this AGM Update further to the announcement made by the Company on 26 March 2020.
In response to the UK Government's compulsory measures (the "Stay at Home Measures") prohibiting, among other things, public gatherings of more than two people, the following revised arrangements have been adopted for Senior's Annual General Meeting ("the 2020 AGM") which is due to be held on Friday 24 April 2020:
● |
The 2020 AGM will be moved to the Company's Head Office, which is located at 59/61 High Street, Rickmansworth, WD3 1RH and the time of the meeting will be changed to 9:00am. |
● |
The 2020 AGM will only address the formal matters contained in the Notice of Meeting, and there will be no corporate presentation. |
● |
In accordance with the Company's Articles, two employee shareholders of the Company will participate in the meeting. No additional shareholders will be required to satisfy the quorum requirements. The Company has been advised that attendance by additional shareholders or external advisers will not be "essential for work purposes" and would not be permitted under the Stay at Home Measures. Anyone trying to attend the meeting will not be allowed entry. |
● |
In order to maintain active communication, shareholders may forward questions to the Board by sending them for the attention of the Group Company Secretary at: companysecretary@seniorplc.com and the Board will respond accordingly. |
The UK Government may change current restrictions or implement further measures relating to the holding of general meetings prior to the 2020 AGM. Any changes to the 2020 AGM (including to the measures outlined above) will be communicated to shareholders before the meeting through the Company's website at www.seniorplc.com and, where appropriate, by a further stock exchange announcement.
Shareholders are encouraged to submit proxy votes to the Company's Registrars, Equiniti, as early as possible. Further information on how shareholders can submit proxy votes can be found in the Notice of 2020 Annual General Meeting. The revised deadline for submitting proxy votes will be 9:00am on Wednesday 22 April 2020.
As previously announced on 26 March 2020, the Board is no longer recommending the payment of the 2019 final dividend of 5.23 pence per share at the 2020 AGM; Resolution 3 will therefore be withdrawn from the AGM.
