Senior plc: Directors' Interests in Shares
On 31 October 2001, the Remuneration Committee of the Board agreed that
Performance Awards be made in accordance with the Rules of the Senior Group Long
Term Share Incentive Plan to the following executive directors of the Company in
respect of the number of shares as quoted below:

M Rollins 180,000
The shares will only be released at the end of a four year 'restricted period'
subject to the achievement of Earnings Per Share requirements, ie: 30% of the
award vesting for an underlying EPS growth of 3% per annum in excess of
inflation, 100% of the award for growth of 8% per annum or more and straight
line vesting between these points.
Mourant & Co. Trustees Limited are acting as trustee for the Senior Group
Employee Benefit Trust in this matter and on this occasion they will not be
purchasing shares to accommodate the above as sufficient shares are currently
held within the trust to satisfy eventual requirements.
As potential beneficiaries under the Trust each of the executive Directors of
Senior plc are treated as being interested in the all the shares acquired by the
Trust.
