Issue of Shares in connection with pre-existing arrangements
The Company announces that it has issued today 45,563 ordinary shares of no value each ("New Shares") to Sequoia Investment Management Company, the Company's Investment Adviser, in relation to fees payable for the period ended 30 September 2015 under the Investment Advisor Agreement ("IAA"), details of which were published in a prospectus published at the time of the Company's listing in March 2015.
In accordance with the IAA, the New Shares are being issued at £1.03 which represents the share price at 2 November 2015 of £1.04 less the dividend declared of 1.0 pence per share for the period ended 30 September 2015.
Applications will be made for the New Shares to be admitted to the premium segment of the Official List and to trading on the London Stock Exchange's Main Market for listed securities ("Admission"). It is expected that Admission will become effective and dealings in the New Shares will commence at 8am on 16 November 2015. Following Admission, the New Shares will rank pari passu with the ordinary shares already in issue and, at that time, the Company's issued share capital will consist of 150,085,425 ordinary shares and 146,853,627 C shares.
The Company holds no shares of either class in Treasury. The C shares do not carry any right to attend or vote at any meeting of the Company, save for limited circumstances, where the consent of the holders of the C shares as a class by special resolution shall be required. Therefore, the total number of voting rights of the Company is 150,085,425 and this figure may be used by shareholders as the denominator for the calculations by which they will determine if they are required to notify their interest in, or of a change to their interest in the Company under the FCA's Disclosure and Transparency Rules.
