Issue of Shares in connection with pre-existing arrangements
The Company announces that it has issued today 39,862 ordinary shares of no value each ("New Shares") to Sequoia Investment Management Company, the Company's Investment Adviser, in relation to fees payable for the period ended 30 June 2015 under the Investment Advisor Agreement ("IAA"), details of which were published in a prospectus published at the time of the Company's listing in March 2015.
In accordance with the IAA, the New Shares are being issued at the prevailing NAV per share of 95.92 pence less the dividend declared of 1.0 pence per share for the period ended 30 June 2015.
Applications will be made for the New Shares to be admitted to the premium segment of the Official List and to trading on the London Stock Exchange's Main Market for listed securities ("Admission"). It is expected that Admission will become effective and dealings in the New Shares will commence at 8am on 17 July 2015. The New Shares will rank pari passu with the Shares already in issue.
Following Admission, the Company's issued share capital will consist of 150,039,862 ordinary shares each with voting rights.
The above figure of 150,039,862 may be used by shareholders as the denominator for the calculations by which they will determine if they are required to notify their interest in, or of a change to their interest in the Company under the FCA's Disclosure and Transparency Rules.
