INITIAL NOTIFICATION OF TRANSACTIONS OF PERSONS DISCHARGING MANAGERIAL RESPONSIBILITIES ('PDMRs') IN ACCORDANCE WITH ARTICLE 19 OF THE EU MARKET ABUSE REGULATION 596/2014

1.         Serco Group plc ('Serco' or 'the Company'), the international service company, announces that the individual Non-Executive Directors named below, each a PDMR, have notified the Company that they have purchased the following number of ordinary shares of 2p each in the Company (ISIN: GB0007973794):

The above transactions took place on the London Stock Exchange (XLON) on 7 April 2017 in the case of John Rishton and on 10 April 2017 in the case of Sir Roy Gardner.

2.         The Company further announces that certain share options and share awards granted under the Serco Performance Share Plan (PSP) over ordinary shares of 2p each in Company  (ISIN: GB0007973794), vested on 10 April 2017.  The PSP share options and share awards were awarded to the individuals listed below upon appointment to the Company to compensate for non-performance share awards forfeited by their respective previous employers.  The number of shares sold to meet associated tax and NIC liabilities arising on vesting and the number of vested shares retained by each PDMR is set out below:

The vesting of the above share options and share award took place outside of a trading venue. The share sale transactions took place on the London Stock Exchange (XLON) on 10 April 2017 in the case of Rupert Soames and Angus Cockburn and on 11 April 2017 in the case of Kevin Craven.
