Directors' Notification of Dealing in Shares

Entitlement to shares under the Long Term Incentive Plan.


The following executive Directors of the company became entitled to receive
ordinary shares of 65 5/19p each in the company on 5th June 2000 pursuant to
awards made to them under the Long Term Incentive Plan in 1997. The shares so
acquired will be transferred to the relevant Directors by the Trustee of the
Severn Trent Plc Employee Share Ownership Trust within the next seven days at
which time a further announcement will be made. No consideration will be
required for the transfer of the shares.
