Director Remuneration Policy
Further to the announcements to the market regarding directors' remuneration
dated 31 January 2011 and 18 February 2011, certain directors of the Company,
namely Walton Imrie, Walter Vorwerk, Gareth Taylor and Paul Heber ("the
Participating Directors") entered into a share acquisition agreement with the
Company under which they agreed to place an order for ordinary shares of Shanta
in the market on the tenth trading day of every month, to be executed on such
day or as soon as practicable thereafter. The foreign currency exchange rate to
be used in determining the number of shares to be acquired by each Participating
Director is the spot price as published in the London Financial Times on the
ninth trading day of every month.
Under the share acquisition agreement, Gareth Taylor agreed to acquire shares to
the value of US$15,000. However, Gareth Taylor's share acquisition agreement has
today been amended and, as of 14 October 2011, Mr Taylor's participation in the
share acquisition scheme shall be to the value of US$5,000 per month.
Under the share acquisition agreement the Participating Directors have no
discretion in respect of the acquisition of shares each month. The share
acquisition agreement commenced on 14 March 2011 and shall expire on 14 August
2012.
