Grant of Options and PDMR Dealings

SigmaRoc plc announces that, following the successful completion of the acquisition of Carriere du Hainaut ('CDH') and associated fundraise announced on 15 October 2019, the Company has awarded a total of 8,000,000 new options over ordinary shares of 1p each in the capital of the Company ('Ordinary Shares') (the 'Options') to board members and senior management personnel, including management at the newly acquired CDH.

The Options will have an exercise price of 46p, representing a 12% premium to issue price of new Ordinary Shares in the October 2019 equity fundraise and a 12% discount to the closing middle market price per Ordinary Share on 30 December 2019.  The Options will vest over three years in equal tranches, expiring on 30 December 2026.

Following the grant of the Options, there will be, in aggregate, 30,223,378 Ordinary Shares under option held by directors and employees of the Group, representing approximately 11.9% of the existing issued ordinary share capital of the Company.  The number of Options issued to the directors of the Company and their aggregate resultant holdings are as follows:
