NOTICE TO NOTEHOLDERS
REDEMPTION OF:
£85,335,000 Series 2012-1 Class 2Z1 Mortgage Backed Floating Rate Notes due 2055
£25,601,000 Series 2012-1 Class 2Z2 Mortgage Backed Floating Rate Notes due 2055
(the Series 2012-1 Class 2Z1 Notes and the Series 2012-1 Class 2Z2 Notes, respectively)
NOTICE IS HEREBY GIVEN THAT on 21 July 2017, the Issuer, pursuant to Condition 5.4 (Optional Redemption) of the Series 2012-1 Class 2Z1 Notes and the Series 2012-1 Class 2Z2 Notes, redeemed in full the Series 2012-1 Class 2Z1 Notes and the Series 2012-1 Class 2Z2 Notes. Nationwide Building Society as Seller made a Refinancing Contribution on such date and for such purpose pursuant to Clause 8.1(b) of the Mortgages Trust Deed.
Although the Required Subordination Percentage remains 13.0%, the actual subordination percentage immediately following the redemption of the Series 2012-1 Class 2Z1 Notes and the Series 2012-1 Class 2Z2 Notes was 14.7%.
Except where the context otherwise requires and save where otherwise defined herein, expressions defined in the amended and restated master definitions and construction schedule signed by, amongst others, the Issuer Security Trustee and the Funding 1 Security Trustee and dated 25 July 2008 (as amended and restated on 22 December 2008, 27 October 2009, 22 October 2010, 15 July 2011, 13 September 2011, 21 October 2011, 22 March 2012 and 30 October 2014, as supplemented on 11 December 2014 and as amended and restated on 18 September 2015, 12 February 2016 and 23 January 2017) and the issuer master definitions and construction schedule signed by, amongst others, the Issuer Security Trustee, the Note Trustee and the Funding 1 Security Trustee and dated 25 July 2008 (as supplemented on 27 October 2009, 22 October 2010, 13 September 2011, 30 October 2014 and 23 January 2017), shall have the same meanings in this announcement.
